By-Laws (Page 2 of 9) ARTICLE II MEMBERS (con't) SECTION FIVE RESIGNATION. Any member may resign by filing a written resignation with the Secretary, but such resignation shall not relieve the member so resigning of the obligation to pay any dues, assessments or other charges accrued and unpaid. SECTION SIX REINSTATEMENT. On written request signed by a former member and filed with the Secretary, the Board of Directors may reinstate such former member to membership on such terms as the Board of Directors may deem appropriate. ARTICLE III MEETING OF MEMBERS SECTION ONE ANNUAL MEETING. An annual meeting of the members shall be held at a time and place selected by the members at the preceding annual meeting. At such meeting the members shall select a primary and an alternate site. The directors of the Association shall at their discretion elect the primary or alternate site based upon considerations of accommodation, availability, dates desired, price, and etc. The purpose of the Annual Meeting is for the election of directors and for the transaction of such other business as may come before the meeting. SECTION TWO SPECIAL MEETINGS. Special meetings of the members may be called by the President, Board of Directors, or not less than one-tenth of the members having voting rights, at such place and time as the requesting party shall designate. SECTION THREE NOTICE OF MEETINGS. A written or printed notice of each annual meeting of the members, stating the time and place, shall be given each member appearing on the books of the Association, by mailing the same to his last known address, at least thirty (30) days before such meeting Proper notice published in the official newspaper of the Association "The Blackhawk Bugle" shall constitute such official notice Written or printed notice of each special meeting of the members, stating the time and place, shall be `given each member appearing on the books of the Association by mailing the same to his last known address, at least thirty (30) days before such meeting. Proper notice in the official newspaper "The Blackhawk Bugle" shall constitute such official notice If notice is to be mailed, the notice of meetings shall be deemed to be delivered when deposited in the United States mail addressed to the member as he appears on the records of the Association, with postage thereon prepaid.
