ARTICLE III

MEETING OF MEMBERS (Con't)

SECTION FOUR

QUORUM. Attendance by 100 or more members shall constitute a quorum at any general or special meeting. If a quorum is not present at any meeting of members, a majority of the members present may adjourn the meeting to another time without further notice.

The act of a majority of the members present at a meeting at which a quorum is present shall be the act of the members.

SECTION FIVE

PROXIES. At any meeting of members, a member entitled to vote may vote by proxy executed in writing by the member or by his duly authorized attorney in fact. No proxy shall be valid after three (3) months from the date of its execution, unless otherwise provided in the proxy.

SECTION SIX

VOTING BY MAIL. Where directors or officers are to be elected by members of any class or classes of members, at the discretion of the Board of Directors, such election may be conducted by mail in a manner as the Board of Directors shall determine.

SECTION SEVEN

ORDER OF BUSINESS. The order of business at all meetings of the members shall be according to Robert's Rules of Order in the following manner:

1 - Call to order - verify quorum.

2 - Reading of minutes of the preceding meeting; and action thereupon.

3 - Report of Officers

4 - Report of committees

5 - Old Business.

6 - Miscellaneous business(Amended 3/13/2005).

7 - New Business.

SECTION EIGHT

FISCAL YEAR. The fiscal year of the Association shall begin on October lst, and end on September 30th. (Revised 09/16/89) (Revised 09/25/99)
