ARTICLE IV

BOARD OF DIRECTORS

 SECTION ONE

GENERAL POWERS. The management of the business and affairs of the Association shall be vested in its Board of Directors. 

SECTION TWO

QUALIFICATIONS. A director must be a member in good standing of the Association at the time of his election to office as director and during his term of office as director. 

SECTION THREE

NUMBER. The number of directors of the Association shall be seven (7). Should there be persons during which the number of candidates for election and or appointments to the Board Of Directors are not sufficient to fill all seven (7) posts, The Board of directors is authorized to function with a lerss number of members. Should the members of the Board of Directors become fewer that three (3), sissolution of the Association is to be considered.

SECTION FOUR  

TENURE. The term of office of each director shall be for a three (3) year period, beginning October 1 and ending September 30. (Revised 09/25/99)

No director may hold office for a period longer than two (2) consecutive elected terms, but may again be elected a director following an interval of one (1) year or more. Any appointment by the Board of Directors to fill a vacancy will be effective until the nest Annual Meeting, and shall not be classified as part of the consecutive elected terms. (Revised 09/22/92)

SECTION FIVE

NOMINATING COMMITTEE. At all Annual Meetings of the membership, a nominating committee consisting of the existing officers, shall select a slate of directors to be presented to the membership for their approval. Members of the Association will be notified of the opening nominations for directorship at least ninety (90) days prior to the election date. Nominations, including a resume and qualifications, must be sent in writing to the Association president at least forty-five (45) days prior to the election date. Publication in the official newspaper, "The Blackhawk Bugle", shall constitute official notice of the opening date of nominations. If a sufficient number of nominations has not been received, the president of the Association shall request the nominating committee to provide a candidate for each office to be filled.  (Revised 09/22/92)

SECTION SIX

ELECTION. A list of nominees, including a resume of each, shall be published in the August issue of "The Blackhawk Bugle". A copy of the printed ballot shall be posted at the Annual Reunion. At the time of the election during the Business Meeting, printed ballots shall be distributed to the membership for each member to cast a ballot. Following the completion of voting, the President shall have the ballots collected, appoint election judges, and call a brief recess during the time that the ballots are being counted. The names of the winning candidates shall be announced at the resumption of business, and the results of the vote will be tiled in the records of the Association Secretary. (Revised 09/22/92)
