By-Laws (Page 5 of 9) ARTICLE IV BOARD OF DIRECTORS (Con't) SECTION SEVEN VACANCIES. Any vacancy occurring in the Board of Directors shall be filled by the Board of Directors. A director appointed to fill a vacancy shall serve for the unexpired term of his predecessor in office. Each such appointment by the Board of Directors shall be subject to the approval or disapproval of the membership at the next regular meeting of the membership. SECTION EIGHT REGULAR MEETINGS. A regular meeting of the Board of Directors shall be held without any other notice other than these By-Laws, immediately following, and at the same place, as the Annual Meeting of members. The Board of Directors may provide by resolution, the time and place for holding additional Regular meetings without other notice than such resolution.SECTION NINE SPECIAL MEETINGS. Special meetings of the Board of Directors may be called by or at the request of the President or any four (4) directors, and shall be held at the principal office of the Association or at such other place as directors may determine.SECTION TEN NOTICE. Notice of Special Meetings of the Board of Directors shall be given at least thirty (30) days previously thereto by written notice delivered personally or sent by mail or by telephone to each director at the address as shown by the records of the Association. Any director may waive notice of any meeting and the attendance of a director at a meeting shall constitute a waiver of notice of such meeting. (Revised 09/22/92) SECTION ELEVEN QUORUM. A majority of the Board of Directors shall constitute a quorum for the transaction of business at any meeting of the board. The act of a majority of the directors present at a meeting at which a quorum is present shall be the act of the Board of Directors.ARTICLE V OFFICERS SECTION ONE OFFICERS. The officers of the Association shall be the President, First Vice President/Reunion Chairman, Second Vice President/Membership Chairman, Secretary, Assistant Secretary/Director of Communications (Bugle Editor), Treasurer, and Assistant Treasurer/ Program Director.
