By-Laws (Page 6 of 9) By-Laws ARTICLE V OFFICERS (Con't) SECTION TWO ELECTION AND TERM OF OFFICE. The officers of the Association shall be elected annually by the Board of Directors at the regular Annual Meeting of the Board of Directors. Each officer shall hold office until the term to which he has been elected has expired. His duly elected and qualified successor will assume that office at that time. The names of all officers elected shall be announced at the Annual Banquet and will be published in the following issue of the official newspaper "The Blackhawk Bugle".SECTION THREE QUALIFICATIONS. The officers shall be members in good standing of the Association and directors of the Association. SECTION FOUR REMOVAL. Any officer duly elected or appointed by the Board of Directors may be removed by the Board of Directors whenever in its judgment the best interests of the Association would be served thereby. SECTION FIVE A. PRESIDENT. The President shall be the principal Executive Officer of the Association and shall, in general, supervise and control all of the business and affairs of the Association. The President shall also preside at all meetings of the members and directors, sign the records thereof, and perform generally all duties usually performed by presidents of like associations and such other duties as shall from time to time be required of him by by members or directors, e g. appointing committees, etc. He shall approve all expenditures prior to the incurrence of same in accordance with the Annual Budget, and shall approve all invoices for payment by initialing the same before payment may be made by the Treasurer. B. FIRST VICE PRESIDENT/REUNION CHAIRMAN. The First Vice President shall perform all the duties of the President in the event of his absence or disability. In the event both the President and the First Vice President are absent or unable to perform their duties, the Second Vice President will assume this position. As Reunion Chairman he shall have full responsibility for the Annual Reunion and shall work with and provide regular and detailed reports to the President and proceed with the approval of the (resident at all times. He shall attend the Annual Director's Meeting and, as Reunion Chairman, shall present for approval by the directors, detailed Reunion plans in accordance with the budget. C. SECOND VICE PRESIDENT; MEMBERSHIP CHAIRMAN The Second Vice President/Membership Chairman shall perform all the duties of the First Vice President in the event of his disability or absence and shall assume all duties as if he were the First Vice President. As Membership Chairman. he shall be responsible for maintaining present membership in addition to acquiring new members. Acquiring new members may be attained by replying to various advertisements in newspaper and magazine publications, including the DAV, American Legion and VFW magazines, who have advertised reunions of various units of the 86th Division, and the use of any and all other media to obtain this information, and shall provide mailing lists acquired in this manner to the Association Secretary for incorporation into the Association master mailing list. He shall work in close association and the supervision of the President, and in accordance with the annual budget for membership expenses. (Page 6 of 9) By-Laws |
